These Terms and Conditions govern your use of the Circular Sourcing platform as a Seller. By registering as a vendor and listing materials for sale, you agree to be bound by these terms.

Please read these terms carefully before creating seller listings.

1. Definitions

  • "Platform" means the Circular Sourcing marketplace and all associated services
  • "Seller" or "Vendor" means any registered user listing materials for sale
  • "Buyer" means any registered user purchasing materials from Sellers
  • "Materials" means surplus, deadstock, or circular textiles and fabrics listed for sale
  • "Service Fee" means the $20 fee charged per completed transaction
  • "Listing" means a product page created by a Seller offering materials for sale

2. Seller Registration and Eligibility

To become a Seller on Circular Sourcing, you must:

  • Be at least 18 years of age
  • Provide accurate business and contact information
  • Have the legal right to sell the materials you list
  • Comply with all applicable laws and regulations
  • Maintain a valid payment method for receiving funds
  • Agree to these Terms and Conditions

3. Prohibited Transactions

NO OUTSIDE TRANSACTIONS PERMITTED

Sellers are strictly prohibited from:

  • Conducting sales or negotiations outside the Circular Sourcing platform
  • Sharing personal contact details, phone numbers, or email addresses with Buyers to arrange external transactions
  • Directing Buyers to purchase materials through other websites, platforms, or direct channels
  • Accepting payments outside the Platform's payment system
  • Attempting to circumvent the Platform's service fees

Violation of this policy will result in immediate account suspension and potential legal action.

4. Service Fee

$20 Service Fee per Completed Transaction

  • A $20 service fee is charged on every completed sale through the Platform
  • The fee is automatically deducted from your payout
  • Service fees cover platform maintenance, payment processing, customer support, and dispute resolution
  • If a transaction is cancelled or refunded, the service fee may be refunded at our discretion
  • Service fees are non-negotiable and apply to all Sellers equally

5. Dispatch and Shipping Requirements

3-Day Dispatch Requirement

Sellers MUST dispatch all orders within 3 business days of receiving payment confirmation.

  • Business days are Monday to Friday, excluding public holidays
  • Provide tracking information to Buyers within 24 hours of dispatch
  • Use reliable shipping carriers with tracking capabilities
  • Package materials securely to prevent damage during transit
  • Notify Buyers immediately if delays are unavoidable

Shipping Costs

  • Sellers are responsible for calculating accurate shipping costs
  • Shipping fees should be clearly displayed at checkout
  • Consider offering free shipping for bulk orders or orders above a certain value
  • International shipping must comply with customs and import regulations

Failure to Dispatch

Repeated failure to dispatch within 3 business days may result in:

  • Account warnings or restrictions
  • Lower seller ratings and visibility
  • Suspension or termination of selling privileges

6. Returns and Refund Policy

15-Day Return Policy

Sellers must accept returns within 15 days of delivery under the following conditions:

  • Buyer's change of mind: Buyers may return materials in original condition (unused, uncut). Buyer pays return shipping.
  • Faulty or misdescribed materials: Seller must provide a full refund including return shipping if materials are not as described or contain undisclosed faults.
  • Process: Buyers initiate returns through the Platform messaging system. Sellers must respond within 2 business days.
  • Refund timing: Refunds must be processed within 7 business days of receiving returned materials.

Seller Responsibilities

  • Respond promptly to return requests
  • Provide return shipping labels for faulty/misdescribed items
  • Inspect returned materials upon receipt
  • Process refunds promptly through the Platform
  • Communicate professionally with Buyers throughout the return process

7. Product Listing Requirements

Accurate Information

All listings must include:

  • Accurate material composition and specifications
  • Clear, high-quality photographs showing the actual material
  • Correct dimensions, weight, and quantity available
  • Honest description of material condition and any faults
  • Current stock availability
  • Accurate pricing including any applicable taxes

Fabric Faults Disclosure

  • All faults must be disclosed in accordance with our Fabric Faults Policy
  • Maximum of 7 minor faults per 100 metres is the acceptable standard
  • Materials exceeding this standard must be clearly marked
  • Provide photographic evidence of any significant faults
  • Describe fault type, size, and approximate location

Prohibited Listings

Sellers may NOT list:

  • Counterfeit or unauthorized reproductions
  • Materials obtained illegally or unethically
  • Hazardous or contaminated materials
  • Materials that violate intellectual property rights
  • Items prohibited by Australian law

8. Inventory Management

  • Sellers must maintain accurate inventory counts
  • Update listings immediately when materials are sold or no longer available
  • Mark listings as "Out of Stock" rather than deleting them if temporarily unavailable
  • Do not oversell materials - ensure sufficient stock before accepting orders
  • Cancel orders immediately if unable to fulfil due to stock issues (with full explanation to Buyer)

9. Communication with Buyers

Response Time Requirement

Sellers must respond to Buyer inquiries within 2 business days through the Platform messaging system.

  • Answer questions about materials, specifications, and availability promptly
  • Provide additional photos or information if requested
  • Communicate professionally and courteously at all times
  • Do not share personal contact information or attempt to move conversations off-platform

Swatches

  • Sellers are encouraged to offer swatches to help Buyers make informed decisions
  • Swatches should be representative of the overall material quality
  • Business Account holders receive 10 free swatches per month - Sellers must honour this benefit
  • Clearly state swatch availability and any associated costs in listings

10. Payment and Payouts

  • Payments are processed through the Platform's secure payment system
  • Funds are held until the Buyer confirms receipt or 14 days after delivery (whichever comes first)
  • The $20 service fee is automatically deducted from each payout
  • Payouts are transferred to your nominated bank account on a regular schedule
  • Sellers must maintain valid banking information for payouts
  • Circular Sourcing is not responsible for payment delays caused by incorrect banking details

11. Seller Ratings and Reviews

  • Buyers may leave ratings and reviews after completing a purchase
  • Reviews are publicly visible and contribute to your seller reputation
  • Sellers may respond to reviews professionally
  • Do not attempt to manipulate ratings or solicit fake reviews
  • Consistently poor ratings may result in account restrictions or termination

12. Intellectual Property

  • Sellers retain ownership of their product photos and descriptions
  • By listing materials, you grant Circular Sourcing a license to display your content on the Platform
  • We may use your listings in marketing materials and promotional content
  • Do not use copyrighted images, trademarks, or content without permission
  • You are responsible for ensuring you have the right to sell all listed materials

13. Prohibited Conduct

Sellers must NOT:

  • Engage in fraudulent or deceptive practices
  • Misrepresent materials, conditions, or availability
  • Manipulate pricing or engage in price fixing
  • Harass, abuse, or threaten Buyers or other Sellers
  • Spam the Platform with duplicate or low-quality listings
  • Attempt to hack, disrupt, or compromise the Platform's security
  • Create multiple accounts to circumvent restrictions
  • Conduct transactions outside the Platform

14. Account Suspension and Termination

Circular Sourcing reserves the right to suspend or terminate Seller accounts for:

  • Violation of these Terms and Conditions
  • Fraudulent or illegal activity
  • Repeated failure to dispatch orders on time
  • Consistent poor ratings or customer complaints
  • Attempting to conduct outside transactions
  • Listing prohibited or misrepresented materials
  • Failure to honour the 15-day return policy

In case of termination, any pending payouts may be withheld pending resolution of outstanding disputes or issues.

15. Limitation of Liability

To the fullest extent permitted by law:

  • Circular Sourcing acts as a marketplace platform facilitating transactions
  • We are not responsible for disputes between Sellers and Buyers
  • We do not guarantee sales, traffic, or revenue for Sellers
  • Our total liability shall not exceed the service fees paid by you in the previous 12 months
  • We are not liable for indirect, incidental, or consequential damages

16. Indemnification

Sellers agree to indemnify and hold harmless Circular Sourcing World Pty Ltd and our officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:

  • Your use of the Platform as a Seller
  • Your violation of these Terms and Conditions
  • Your listings, materials, or transactions
  • Infringement of third-party intellectual property rights
  • Disputes with Buyers

17. Modifications to Terms

We reserve the right to modify these Terms and Conditions at any time. Changes will be effective immediately upon posting. Continued use of the Platform after modifications constitutes acceptance of the updated terms.

18. Governing Law

These Terms and Conditions are governed by the laws of Victoria, Australia. Any disputes shall be subject to the exclusive jurisdiction of the courts of Victoria.
